These Terms & Conditions ("Terms") govern your access to and use of the Zoxi Media platform, including our website, DSP, SSP, campaign management tools and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
Eligibility
You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. By using the Services, you represent and warrant that you meet these requirements.
Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current and complete information during registration and to keep it updated. We reserve the right to suspend or terminate accounts that provide false information.
Advertiser Terms
Advertisers are responsible for ensuring that all campaigns, creative assets and landing pages comply with applicable laws and our advertising policies. We reserve the right to reject, pause or remove any campaign that violates these Terms or our advertising guidelines, including content that is illegal, deceptive, or harmful.
Publisher Terms
Publishers must own or have appropriate rights to monetize the inventory submitted to our platform, and must not use fraudulent, incentivized or otherwise invalid traffic generation methods. Violation of these requirements may result in withheld payouts and account termination.
Payments & Payouts
Advertiser billing and publisher payouts are processed according to the terms specified in your account dashboard, generally on a net-15 cycle unless otherwise agreed. We reserve the right to withhold payment where fraud, policy violations or payment disputes are under investigation.
Prohibited Conduct
- Generating fraudulent impressions, clicks, installs or conversions
- Circumventing or interfering with our fraud detection systems
- Uploading malicious code, malware or harmful creative assets
- Infringing on the intellectual property rights of others
- Using the Services for any unlawful purpose
Intellectual Property
The Zoxi Media platform, including its software, design, trademarks and content, is owned by Zoxi Media and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Services, only a limited, revocable license to use them as intended.
Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, us or third parties. You may terminate your account at any time by contacting us.
Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee specific advertising results, revenue or performance outcomes.
Limitation Of Liability
To the maximum extent permitted by law, Zoxi Media shall not be liable for any indirect, incidental, special, consequential or punitive damages arising from your use of the Services, even if advised of the possibility of such damages.
Governing Law
These Terms are governed by the laws applicable in our jurisdiction of incorporation, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in accordance with applicable arbitration or court procedures as specified in your service agreement.
